9.责任范围
因为一些州郡或司法管辖区不允许结果性或偶发性损害赔偿的排他性或局部性限制，于该等州郡或司法管辖区，DigitalExtremes的承担责任应符合适用法律内所允许之最大范围限制。
10.衡平法补偿
您据此同意本协议条款的无强制性将会致使DigitalExtremes遭受无可挽回的损失，因此您同意DigitalExtremes应有权利就任何违反本协议行为，无需证人、其他保证、或损失证明，在任何合法管辖权内法庭获得适当的衡平法补偿，并且该衡平法补偿应为在DigitalExtremes可能依适用法律合法享有其他补偿之外之额外补偿。如果任何一方依据本协议投诉任何诉讼，该诉讼胜诉方应有权利自败诉方获得因此诉讼所招致之所有诉讼费、律师费、及其他费用的补偿。
11.适用法律；争端解决
c.限制条件-您和DigitalExtremes双方同意任何仲裁应该仅限于您和DE之间的个别“争端”。在法律许可的最大程度下，（1）任何非当事人不可参与仲裁；（2）任何“争端”没有权利或权力允许共同起诉，或利用共同起诉程序；及（3）任何“争端”没有权利或权力能够允许公众代表人或任何其他方代表人参与。

1.LIMITEDUSELICENSE
IfyouagreetothisLicenseAgreement,youmayinstalltheSoftwareontoyourcomputerforpurposesofplayingtheGamebyregisteringforandaccessingaUserAccount(“Service”).SubjecttoyouragreementtoandcontinuingcompliancewiththisLicenseAgreement,DEherebygrants,andyouherebyaccept,alimited,non-exclusivelicenseto(a)installtheSoftwareononeormorecomputersownedbyyouorunderyourlegitimatecontrol,and(b)usetheSoftwareinconjunctionwiththeServiceforyournon-commercialentertainmentpurposesonly.AlluseoftheSoftwareissubjecttothisLicenseAgreementandtotheTermsofUseagreement(the“TermsofUse”),bothofwhichyoumustacceptbeforeyoucanuseyourUserAccount(hereinafterreferredtoas“Account”)toplaytheGame.
2.LICENSERESTRICTIONSANDLIMITATIONS
Thelimited,personaluselicensegrantedtoyouinSection1issubjecttothefollowingrestrictionsandlimitationsaswellasallothertermsandconditionsofthisAgreement(collectively,the“LicenseLimitations”).Youagreethatyouwillnot,underanycircumstances:
a.sell,sublicense,assign,rent,lease,orotherwisetransfertheSoftware,exceptasexpresslypermittedbythisAgreement;
b.reverseengineer,decompile,disassembleorotherwisederivesourcecodeorgamedatafromtheSoftwareorreducetheSoftwaretoahuman-readableform,excepttotheextentthatsuchactionsareexpresslypermittedbyapplicablelaworpublishorsharesamewithanyone;
c.copy,photocopyorreproducetheSoftware,inwholeorinpart;provided,however,thatyoumaymakeone(1)copyoftheGameSoftwareandtheGamemanualforarchivalpurposesonly;
d.modify,translateorcreatederivativeworksbasedonorutilizingtheSoftware,ServiceorSoftwareexperience,oranyportionthereoforpublishorsharesamewithanyone;
e.removeortamperwithanycopyrightorotherproprietarynoticescontainedinorrelatingtotheSoftware,ServiceorGameexperience,oranyportionthereof;
f.usecheats,automationsoftware(bots),hacks,modsoranyotherunauthorizedthird-partysoftware,toolsorcontentdesignedtomodifytheSoftware,theServiceortheGameexperience;
g.exploittheSoftware,theService,theGameexperienceoranyportionthereofforanycommercialpurpose,includingwithoutlimitation,(i)useatacybercafe,computergamingcenteroranyotherlocation-basedsitewithouttheexpresswrittenconsentofDigitalExtremes;(ii)forgatheringin-gamecurrency,itemsorresourcesforsaleoutsidetheSoftware;or(iii)performingin-gameservicesinexchangeforpaymentoutsidetheSoftware(e.g.,power-levelingandsimilaractivities);
h.useanyunauthorizedthird-partysoftwarethatintercepts,“mines”,orotherwisecollectsinformationfrom,withinorthroughtheSoftwareorService,includingwithoutlimitation,anysoftwarethatreadsareasofRAMusedbytheSoftwaretostoreinformationaboutacharacter,in-gameitemsortheSoftwareenvironment;provided,however,thatDigitalExtremesmay,initssolediscretion,allowtheuseofspecifiedthirdpartyuserinterfaces;
i.modify,oralloworcausetobemodified,anyfilesthatareapartoftheSoftwareinanywaynotexpresslyauthorizedbyDigitalExtremesinwritingineachinstance;
j.host,provideordevelopmatchmakingservicesfortheSoftwareorServiceorintercept,emulateorredirectthecommunicationprotocolsusedbyDigitalExtremesinanyway,foranypurpose,includingwithoutlimitation,unauthorizedplayovertheInternet,networkplay,oraspartofcontentaggregationnetworks;
k.facilitate,createormaintainanyunauthorizedconnectiontotheSoftwareorService,includingwithoutlimitation,(i)anyconnectiontoanyunauthorizedserverthatemulates,orattemptstoemulate,theService;or(ii)anyconnectionusingprogramsortoolsnotexpresslyapprovedbyDigitalExtremesinwritingineachinstance;
l.createanyothersoftwareorcontentthatincorporatestheSoftwareorServiceoranyportionthereof;
m.sell,grantasecurityinterestinortransferreproductionsoftheSoftwaretootherpartiesinanywaynotexpresslyauthorizedherein,orrent,leaseorlicensetheSoftwaretoothers;or
n.discloseanyunusedorpendingfeaturesyoumayfindintheSoftware,whichareconfidentialtradesecretsofDE.
3.COPYRIGHTS,TRADEMARKSANDPROPRIETARYRIGHTS
a.Warframeandcertainrelatednamesandlogosareregisteredorunregisteredtrademarks,servicemarksand/ortradenamesofDigitalExtremes.Theseandallothertrademarks,servicemarksandtradenamesusedinorinconnectionwiththeSoftware(the“Marks”)areproprietaryrightsownedbyDigitalExtremesoritslicensors.
4.CONSENTTOMONITOR
WhenrunningtheSoftware,DigitalExtremesmaymonitoryouruseandplayoftheSoftwareandcollectdataregardingyouruseandplayofthesoftwareinaccordancewithDigitalExtreme’sPrivacyPolicyfoundatwww.warframe.com.Inaddition,thesoftwaremaymonitoryourcomputer’sRandomAccessMemory(RAM)forunauthorizedthird-partyprogramsrunningconcurrentlywiththeSoftware.An“UnauthorizedThird-PartyProgram”asusedhereinshallbedefinedasanythird-partysoftwareprohibitedbySection2.IntheeventthattheSoftwaredetectsanUnauthorizedThird-PartyProgram,theSoftwaremaycommunicateinformationbacktoDigitalExtremes,includingwithoutlimitation,yourAccountname,detailsabouttheUnauthorizedThird-PartyProgramdetectedandthetimeanddate;andDigitalExtremesmayexerciseanyorallofitsrightsunderthisagreement,withorwithoutpriornoticetoyou,includingwithoutlimitation,terminationofthisagreementandyourrighttocontinueuseoftheSoftware.
5.PATCHESANDUPDATES
DigitalExtremesmaydeployorprovidepatches,updatesandmodificationstotheGamethatmustbeinstalledforyoutocontinuetoplaytheGame.DigitalExtremesmayupdatetheGameremotelyincludingwithoutlimitationtheGameClientSoftwareresidingonyourmachine,withoutyourknowledge,andyouherebygranttoDigitalExtremesyourconsenttodeployandapplysuchpatches,updatesandmodifications.
6.DURATIONOFONLINESERVICES
TheSoftwareisanonlinegamethatmustbeplayedovertheInternetthroughtheServiceasprovidedbyDigitalExtremes.YouunderstandandagreethattheServiceisprovidedbyDigitalExtremesatitsdiscretionandmaybeterminatedorotherwisediscontinuedbyDEatanytimeforanyreasonornoreason.
7.TERMINATION
ThisLicenseAgreementiseffectiveuntilterminated.YoumayterminatetheLicenseAgreementatanytimeby(i)permanentlydestroyingallcopiesoftheGameinyourpossessionorcontrol;(ii)removingtheSoftwarefromyourharddrive.DigitalExtremesmayterminatethisAgreementatanytimeforanyreasonornoreason.Uponterminationforanyreason,alllicensesgrantedhereinshallimmediatelyterminateandyoumustimmediatelyandpermanentlydestroyallcopiesoftheGameinyourpossessionandcontrolandremovetheSoftwarefromyourharddrive.
8.WARRANTYDISCLAIMER
TOTHEEXTENTPERMITTEDBYAPPLICABLELAW,THEGAMEANDALLINFORMATION,CONTENTANDSERVICESCONTAINEDTHEREONAREPROVIDEDONAN“ASIS”BASISWITHOUTWARRANTIESOFANYKIND,EITHEREXPRESSORIMPLIED.DIGITALEXTREMESEXPRESSLYDISCLAIMSANYANDALLWARRANTIESOFTITLEORNON-INFRINGEMENTORIMPLIEDWARRANTIESORCONDITIONSOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,OTHERTHANTHOSEWARRANTIESWHICHAREINCAPABLEOFEXCLUSION,RESTRICTIONORMODIFICATIONUNDERTHELAWSAPPLICABLETOTHISAGREEMENT.OURGOODSCOMEWITHGUARANTEESTHATCANNOTBEEXCLUDEDUNDERTHEAUSTRALIANCONSUMERLAW.AUSTRALIANCUSTOMERSAREENTITLEDTOAREPLACEMENTORREFUNDFORAMAJORFAILUREANDFORCOMPENSATIONFORANYOTHERREASONABLYFORESEEABLELOSSORDAMAGE.AUSTRALIANCUSTOMERSAREALSOENTITLEDTOHAVETHEGOODSREPAIREDORREPLACEDIFTHEGOODSFAILTOBEOFACCEPTABLEQUALITYANDTHEFAILUREDOESNOTAMOUNTTOAMAJORFAILURE.USEOFTHEGAMEISATYOURSOLERISK.
NEITHERDIGITALEXTREMES,DIGITALEXTREMES'THIRD-PARTYPROVIDERS,NORANYPERSONORENTITYINVOLVEDINCREATING,PRODUCINGORDISTRIBUTINGANYCONTENTORSERVICESCONTAINEDINTHEGAME,NORANYOFTHEIRRESPECTIVEDIRECTORS,OFFICERS,EMPLOYEESORAGENTS,MAKEANYWARRANTYWHATSOEVER,INCLUDING,WITHOUTLIMITATION,THATTHEGAMEWILLBEUNINTERRUPTEDORERRORFREE;NORDOTHEYMAKEANYWARRANTYASTOTHERESULTSTHATMAYBEOBTAINEDFROMUSEOFTHEGAMEORASTOTHEACCURACY,RELIABILITY,QUALITYORCONTENTOFANYINFORMATION,SERVICEORMERCHANDISEPROVIDEDONORTHROUGHTHEGAME,INCLUDING,WITHOUTLIMITATION,ALLDIGITALEXTREMESCOMMUNICATIONFEATURES.
9.LIMITATIONOFLIABILITY
TOTHEEXTENTPERMITTEDBYLAW,DIGITALEXTREMESSHALLNOTBELIABLEINANYWAYFORANYLOSSORDAMAGEOFANYKINDARISINGOUTOFTHEGAMEORANYUSEOFTHEGAME,INCLUDING,WITHOUTLIMITATION,LOSSOFDATA,LOSSOFGOODWILL,WORKSTOPPAGE,COMPUTERFAILUREORMALFUNCTION,ORANYANDALLOTHERDAMAGESORLOSSES.FURTHER,DIGITALEXTREMESSHALLNOTBELIABLEINANYWAYFORANYLOSSORDAMAGETOPLAYERCHARACTERS,VIRTUALGOODSORCURRENCY,ACCOUNTS,STATISTICSORUSERRANKS,ORPROFILEINFORMATIONSTOREDBYTHEGAMEAND/ORTHESERVICE.DIGITALEXTREMESSHALLNOTBERESPONSIBLEFORANYINTERRUPTIONSOFSERVICE,INCLUDING,WITHOUTLIMITATION,ISPDISRUPTIONS,SOFTWAREORHARDWAREFAILURES,ORANYOTHEREVENTWHICHMAYRESULTINALOSSOFDATAORDISRUPTIONOFSERVICE.INNOEVENTWILLDIGITALEXTREMESBELIABLETOYOUFORANYDIRECT,INDIRECT,INCIDENTAL,SPECIAL,EXEMPLARYORCONSEQUENTIALDAMAGES.
Becausesomestatesorjurisdictionsdonotallowtheexclusionorthelimitationofliabilityforconsequentialorincidentaldamages,insuchstatesorjurisdictions,theliabilityofDigitalExtremesshallbelimitedtothefullestextentpermittedbyapplicablelaw.
10.EQUITABLEREMEDIES
YouherebyagreethatDigitalExtremeswouldbeirreparablydamagedifthetermsofthisAgreementwerenotspecificallyenforced,andthereforeyouagreethatDigitalExtremesshallbeentitled,withoutbondorothersecurityorproofofdamages,toappropriateequitableremediesinanycourtofcompetentjurisdictionwithrespecttoanybreachofthisAgreement,whichequitableremediesshallbeinadditiontosuchotherremediesasDigitalExtremesmayotherwisehaveavailableunderapplicablelaw.IntheeventanylitigationisbroughtbyeitherpartyinconnectionwiththisAgreement,theprevailingpartyinsuchlitigationshallbeentitledtorecoverfromtheotherpartyallthecosts,attorneys’feesandotherexpensesincurredbysuchprevailingpartyinthelitigation.
11.GOVERNINGLAW;DISPUTERESOLUTION
b.BindingArbitration-IfyouandDigitalExtremesareunabletoresolveaDisputethroughinformalnegotiations,eitheryouorDEmayelecttohavetheDispute(exceptthoseDisputesexpresslyexcludedbelow)finallyandexclusivelyresolvedbybindingarbitration.Anyelectiontoarbitratebyonepartyshallbefinalandbindingontheother.YOUUNDERSTANDTHATABSENTTHISPROVISION,YOUWOULDHAVETHERIGHTTOSUEINCOURTANDHAVEAJURYTRIAL.ThearbitrationshallbecommencedandconductedunderthejurisdictionofCanadiancourts.Thearbitrationmaybeconductedinperson,throughthesubmissionofdocuments,byphoneoronline.Thearbitratorwillmakeadecisioninwriting,butneednotprovideastatementofreasonsunlessrequestedbyaparty.Thearbitratormustfollowapplicablelaw,andanyawardmaybechallengedifthearbitratorfailstodoso.ExceptasotherwiseprovidedinthisLicenseAgreement,youandDEmaylitigateincourttocompelarbitration,stayproceedingpendingarbitration,ortoconfirm,modify,vacateorenterjudgmentontheawardenteredbythearbitrator.
c.Restrictions-YouandDigitalExtremesagreethatanyarbitrationshallbelimitedtotheDisputebetweenDEandyouindividually.Tothefullextentpermittedbylaw,(1)noarbitrationshallbejoinedwithanyother;(2)thereisnorightorauthorityforanyDisputetobearbitratedonaclass-actionbasisortoutilizeclassactionprocedures;and(3)thereisnorightorauthorityforanyDisputetobebroughtinapurportedrepresentativecapacityonbehalfofthegeneralpublicoranyotherpersons.
d.ExceptionstoNegotiationsandArbitration-YouandDigitalExtremesagreethatthefollowingDisputesarenotsubjecttotheaboveprovisionsconcerninginformalnegotiationsandbindingarbitration:(1)anyDisputesseekingtoenforceorprotect,orconcerningthevalidityof,anyofyourorDE’sintellectualpropertyrights;(2)anyDisputerelatedto,orarisingfrom,allegationsoftheft,piracy,invasionofprivacyorunauthorizeduse;and(3)anyclaimforinjunctiverelief.
12.MISCELLANEOUS
ForNorth&SouthAmericanPlayStationNetworkUsers:
PurchaseanduseofitemsaresubjecttotheNetworkTermsofServiceandUserAgreement.ThisonlineservicehasbeensublicensedtoyoubySonyInteractiveEntertainmentAmerica.
ForEuropeanPlayStationNetworkUsers:
Anycontentpurchasedinanin-gamestorewillbepurchasedfromSonyInteractiveEntertainmentNetworkEuropeLimited(“SIENE”)andbesubjecttoPlayStationNetworkTermsofServiceandUserAgreementwhichisavailableonthePlayStationStore.Pleasecheckusagerightsforeachpurchaseasthesemaydifferfromitemtoitem.Unlessotherwiseshown,contentavailableinanyin-gamestorehasthesameageratingasthegame.
YOUHEREBYACKNOWLEDGETHATYOUHAVEREADANDUNDERSTANDTHEFOREGOINGENDUSERLICENSEAGREEMENTANDAGREETHATBYCLICKING“IAGREE”AND/ORINSTALLINGTHESOFTWAREANDPLAYINGTHEGAME,YOUAREACKNOWLEDGINGYOURAGREEMENTTOBEBOUNDBYTHETERMSANDCONDITIONSOFTHISLICENSEAGREEMENT.
