We,(hereinafterreferredtoasthe“Principal”),acorporationorganizedandexistingunderthelawsofGERMANY,havingtheregisteredheadofficeat,herebyauthorize:
(Hereinafterthe“EntrustedAgent”
以下简称“受托人”)
WedoherebyappointtheEntrustedAgenttoactonmybehalfjointlyandseverallyintheterritoryofthePeople'sRepublicofChinaandputforthclaims(includingbutnotlimitedtoadministrative
punishment,criminalpenaltyand/orcivildamages)withthecompetentadministrativeand/orjudicialauthorityinrelationtoanyorallactsconnectedwiththeinfringementofthePrincipalsintellectualpropertyrights(includingbutnotlimitedtotrademarkright,copyrights,designpatent)and/oranyunfaircompetitiveactsagainstthePrincipal,accordingtolawsofthePeople'sRepublicofChina.
兹委托受托人依据中华人民共和国法律，就侵犯委托人知识产权（包括但不限于注册商标专用权，著作权，专利权）的行为，和/或针对委托人的不正当竞争行为，在中华人民共和国境内代表委托人追究侵权人的行政、刑事和/或民事赔偿等法律责任。
TheEntrustedAgentherebyhasfullpowerincludingbutnotlimitedto:
2)Filingcomplaintagainstonlineinfringementtovendor/operatorofonlineservices,providingtheevidencesprovinginfringementandotherrelevantmaterial,identifyingandverifyinginfringingproducts,andsigningdocumentsandagreementsrelevanttocomplaintagainstinfringementuponintellectualproperty.
3)IssuingCeaseandDesistLettersand/orrelevantdocumentstoinfringers,conductingnegotiationwithInfringersanddemandingcompensationsfromtheInfringersand,ifnecessary,reachingandexecutingsettlementagreementswithinfringersandreceivingdamagesonthebehalfofthePrincipal;
4)Filingciviland/orprivatepersecutionpenallawsuits,administrativelawsuits,defendingas
defendantorthethirdpartyinciviloradministrativelawsuits,takingpartinthecriminalprocedureastheinjuredunitatthePeople'sCourtswithcompetentjurisdictionwithaviewtoprotectingthePrincipalsintellectualpropertyrightsandotherlawfulrightsandinterests.InprotectingintellectualpropertyrightsandotherlawfulrightsandinterestsofthePrincipalbylitigationchannels,includingbutnotlimitedtolitigationchannelslistedabove,theEntrustedAgentisauthorizedtoconductthefollowingactivities:
为保护委托人的知识产权及其他合法权益，向有管辖权的人民法院提起民事诉讼和/或刑事自诉以及行政诉讼，作为被告或第三人在民事或行政案件中应诉，作为受害单位参加刑事诉讼。受托人采用包括但不限于上述所列诉讼方式保护委托人的知识产权及其他合法权益时，受托人可以从事以下事项：
b)ActingonbehalfofthePrincipalwiththesamepowersasabove-mentionedtorespondtoanddefendanycounter-claim(includingcounter-claim(s)inaseparatelawsuit).
c)ActingonbehalfofthePrincipal,handlingallrelatedlegalmattersinpossibleexecutionproceedings,includingbutnotlimitedtoapplyingforexecution,handlingalllegalmattersinanexecution,reachingexecutionsettlement,andreceivingthemonetarysumofthesubjectmatteroftheexecution.
在可能的强制执行案件中，代理委托人办理执行过程中的一切法律事务，包括但不限于：申请强制执行，进行执行和解，代为领取执行标的款等。
5)TakingsuchotheractionsasnecessaryorappropriatetoprotectthePrincipal’sintellectualpropertyrightsandotherlawfulrightsandinterests.
其他为保护委托人的知识产权及其他合法权益所必须或适当的行动。
Intheabovelitigationornon-litigationproceeding,eitheroftheabovetheEntrustedAgentisentitledtoappointitslawyer(s)and/orotherqualifiedstafftoactuallyexecutetheabovematter,orsub-delegateallorapartoftheabovepowerstootherlawyer(s)orotherlegallyqualifiedsubject(s)whocomplywiththelawsandregulationsinthePeople’sRepublicofChina.EitheroftheEntrustedAgentisrequiredtoissueawrittenPowerofAttorneyforsub-delegationandthescopeofthepowersdelegatedshallbesubjecttothosespecifiedinthewrittenPowerofAttorneyissuedbyeitheroftheabovetheEntrustedAgent.WheretheEntrustedAgentonlyissuessub-delegatetoalawyerinlitigation,theEntrustedAgentstillhasfullpowerinlitigationandhasthepowertoattendthelawsuitaswell.TheEntrustedAgentshalltakeallresponsibleforallliabilityofthebehaviorofsub-delegation.
ThisPowerofAttorneyshallbeeffectivefromthesignaturetoDD/MM/YY.ThePrincipalreservestherighttoquitthisauthorizationunderthecertaincircumstanceaccordingtotheagreementbetweentheparties.ThecopyofthePowerofAttorneyhasthesameeffectbutthesub-authorizationtakeseffectonlywithoriginalcopyandstampedwiththeEntrustedAgent’scompanychop.
